AGREEMENT TO OUR LEGAL TERMS

These Terms of Use constitute a legally binding agreement made between you and Unpaved, An Enmigri LLC Company (doing business as Unpaved) ("we," "us," or "our"), concerning your access to and use of the website https://unpaved.info (the "Site") and any related services (collectively, the "Services").

By accessing the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Services.

We reserve the right to make changes to these Terms at any time. We will notify you of material changes by email to the address associated with your account. Your continued use of the Services after notification constitutes acceptance of the updated Terms.

1. OUR SERVICES

Unpaved connects working farms that welcome visitors with people who want to visit and support working farms. The Services include a farm directory, search and filtering tools, trip planning features, a blog, and an optional monthly Seasonal Digest email. The Services are intended for users who are at least 18 years of age.

We make no representation that the Services are appropriate or available for use outside the United States.

2. INTELLECTUAL PROPERTY RIGHTS

The Services and their original content (excluding user-submitted content) are owned by Enmigri LLC and are protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Services without our express written permission.

The Unpaved name, logo, and related marks are trademarks of Enmigri LLC.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to agree to these Terms
  • All information you submit is true, accurate, current, and complete
  • You will maintain the accuracy of such information and update it as necessary
  • You will not access the Services through automated or non-human means
  • You will not use the Services for any illegal or unauthorized purpose
  • Your use of the Services will not violate any applicable law or regulation

4. USER REGISTRATION

You may be required to register to access certain features of the Services. You agree to keep your password confidential and are responsible for all activity that occurs under your account. We reserve the right to remove, reclaim, or change a username we determine is inappropriate.

5. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make them available. You agree not to:

  • Submit false, misleading, or inaccurate farm listing information
  • Systematically retrieve data or content from the Site to create a collection or database without our written permission
  • Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as passwords
  • Circumvent, disable, or otherwise interfere with security-related features of the Site
  • Disparage, tarnish, or otherwise harm us or the Site
  • Harass, abuse, or harm another person using information obtained from the Site
  • Use the Site inconsistently with any applicable laws or regulations
  • Frame or link to the Site without authorization
  • Upload or transmit viruses, Trojan horses, or other harmful materials
  • Use scripts, data-mining, robots, or similar tools to send comments or messages
  • Delete copyright or other proprietary rights notices from any content
  • Impersonate another user or person
  • Interfere with or create an undue burden on the Site, networks, or services
  • Attempt to bypass measures designed to prevent or restrict access to the Site
  • Copy or adapt the Site's software
  • Decipher, decompile, disassemble, or reverse engineer any software comprising the Site
  • Use any automated system to access the Site other than through standard search engine or browser usage
  • Collect usernames or email addresses for the purpose of sending unsolicited communications
  • Use the Site to compete with us or for any unauthorized commercial purpose

6. USER-GENERATED CONTRIBUTIONS

The Services allow users to submit farm listings, farm claim requests, photos, trip itineraries, and other content ("Contributions"). You represent and warrant that:

  • You own or have the necessary rights to submit your Contributions
  • Your Contributions do not violate the intellectual property rights of any third party
  • Your Contributions are accurate and not misleading
  • Your Contributions do not violate any applicable law or regulation

All farm listing submissions are subject to admin review and approval before appearing publicly on the Site.

7. CONTRIBUTION LICENSE

By submitting Contributions to the Services, you grant us a perpetual, worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute your Contributions in connection with operating and promoting the Services. You retain ownership of your Contributions.

8. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to third-party websites. We do not control and are not responsible for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

The Services use Google Maps Platform APIs. Your use of Google Maps features within the Services is subject to Google's Terms of Service. By using the Services, users are bound by Google's Terms of Service (https://policies.google.com/terms).

9. DISCLAIMER REGARDING FARM LISTINGS

Farm listing information is provided for general informational purposes only. While we make reasonable efforts to ensure accuracy, we make no representations or warranties regarding the completeness, accuracy, or timeliness of any listing information. Users should independently verify all farm information before visiting or making plans.

Unpaved is not liable to any farm or farm operator for listing information that is inaccurate, incomplete, or outdated. Farms wishing to correct or update their listing information may contact us at faith@unpaved.info or submit a claim through the Site.

Unpaved is not responsible for the actual operations, safety, quality, conditions, or conduct of any farm listed in the directory. A listing does not constitute an endorsement of any farm or its operations. Any interaction or transaction between a user and a farm is solely between those parties. Unpaved is not a party to those arrangements and accepts no liability in connection with them.

10. SERVICES MANAGEMENT

We reserve the right to monitor the Services for violations of these Terms, take appropriate legal action, restrict or deny access to the Services, and manage the Services to protect our rights and property.

11. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE LESSER OF THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM OR THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

13. DISPUTE RESOLUTION

Informal Negotiations. Before initiating arbitration, the parties agree to attempt to resolve any dispute through informal negotiations for at least thirty (30) days after written notice of the dispute is provided.

Binding Arbitration. If informal negotiations fail, disputes shall be resolved by binding arbitration in Miami-Dade County, Florida, United States. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding. We agree to pay arbitration fees if they are deemed excessive.

Exceptions. Either party may seek emergency equitable relief in a court of competent jurisdiction to maintain the status quo pending arbitration.

Court Litigation. If arbitration is not applicable, disputes shall be resolved in the courts located in Miami-Dade County, Florida.

Time Limitation. Any cause of action or claim must be commenced within one (1) year after the cause of action accrues.

14. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to update information at any time without prior notice.
